Nebius is making a lower high while taking on more debt, with a new $4.5 billion convertible senior notes offering. x.com
Nebius is a short as it proposes a $4.50 billion private offering of convertible senior notes, per @AIStockSavvy. x.com
Nebius can do well while its convertible debt is not yet due, unlike CoreWeave, which faces immediate liquidity trouble. Pain may come when Nebius's convertibles mature; it is nowhere near CoreWeave's current default risk. A $3,000 share target goes too far. x.com x.com
Nebius faces dilution pressure because its $20–25B 2026 capex plan implies further cash needs and raises. August's roughly $5B convertible offering was its third capital raise of 2026; $800M in old notes were exchanged for about 15.8M new shares. It has lost wedge support and closed below the 50 EMA; if the volume shelf around $220 holds as resistance, a retest of the 200 EMA is possible. The watched trigger is $217.73. x.com
Nebius's debt is snowballing. Per @topsecretstocks, it proposed a $4.5B convertible note offering, $2.75B due 2030 and $1.75B due 2034 plus an option for about $675M more, to fund data center build-out, GPUs and growth. x.com
Nebius's current margins leave virtually no valuation support for its shares. It should do well over the medium term, but remains a high-quality speculative story with massive execution risk. x.com
Nebius's $4.5 billion convertible note offering and exchanges of existing notes for shares could pressure the stock. It plans $2.75 billion of 2030 notes and $1.75 billion of 2034 notes for data centers, its AI cloud and GPUs, while holders swapping 2029 and 2031 notes for Class A shares may sell them or adjust hedges, which could depress the price. Neoclouds also fell as Treasury yields rose; their debt makes them fragile in headwinds and better suited to swing trading. x.com
Nebius can fall with neocloud peers because the market prices sector risk rather than each company's quality. Nebius and SPCX are better companies than 99% of the others, yet Nebius would not be immune to a WOLF or CoreWeave default; some weaker names may never recover. x.com
Long-dated call buying and $150 put selling suggest institutions are positioned for upside in Nebius into 2027, a stronger bullish read than Marvell. Unusual Whales data show over $25 million in two call blocks, though one may be a roll, and over $12 million in $150 puts sold. The 19% two-day bounce lacked confirming options inflows, so Nebius could retest $170 before Nov. 10 earnings, with a roughly 18% implied move. x.com
SpaceX's planned tenfold neocloud expansion and tightening financing could pressure Nebius. Musk says debt markets have nearly shut for companies without substantial non-AI-data-center revenue, implying consolidation among the 200-plus neoclouds. Nebius looks less appealing than SpaceX, and picking a battle with Elon is not attractive. x.com x.com
