Personalis no longer offers the hoped-for path to a Tempus stock swap, because its premium to the Tempus deal price makes a knockout cash offer the likelier outcome if the deal breaks. Tempus, Merck and other deal supporters own much of the equity, so a rival bid would need to be undeniably better and would probably be cash, nullifying the reason to hold even at a higher price. With about 25% growth expected and profitability uncertain, it is not obviously cheap. Glassdoor reviews matter in medicine's high-trust setting, and ongoing insider sales echo founder patterns that ended badly. Tempus AI's Personalis acquisition is a great strategic fit but raises the risk profile, because Tempus overpaid. Personalis adds longitudinal molecular-response and patient-outcome data that reinforce Tempus's data moat. But at roughly 19 times Personalis's guided 2026 revenue, with 15-20% gross margins and about $100M of cash burn, it adds burn on top of Tempus's own and could take years to become accretive. Per Tempus, Pathos agreed to pay $55M over five years to license a neurology dataset Tempus plans to build from hundreds of thousands of patient records. Its $1.5 billion Personalis deal owns the sequencing technology behind the Moderna-Merck mRNA cancer vaccine, whose strong Phase 3 melanoma results validated the bet.
